The Constitution of the Asian Pacific Society of Interventional Cardiology (APSIC)

This Constitution was adopted at the Advisory Board Meeting of APSIC held in Perth, Australia on July 31, 1998, and become effective 30 days after the circulation of the finally revised Constitution to all of the Advisory Board Member or no later than October 30, 1998.
   
This Constitution is composed of five main articles and one supplementary article followed by the two tables, one schema and one appendix.
   
   
Article 1 THE PRINCIPLE OF THE SOCIETY
   
1-A THE OBJECTIVE OF THE SOCIETY
The Asian Pacific Society of Interventional Cardiology is established to promote interventional cardiology, especially in the field of coronary intervention, in the Asian Pacific area.
   
1-B INDEPENDENCE
The Asian Pacific Society of Interventional Cardiology is a society independent of the Asian Pacific Society of Cardiology.
   
1-C MEMBER NATIONS/REGIONS
The Society covers nations/regions in the Asian Pacific area.
   
1-D ORGANIZATION OF THE SOCIETY
   
1-D-1 Structure
The Society is composed of the Secretariat Office, the Society Fund, the Advisory Board Meeting, the APSIC Regional Meeting, and the APSIC General Meeting.
   
1-D-2 The Secretariat Office
The Society has the Secretariat Office. The location of the Secretariat Office should be reviewed by the Advisory Board Meeting every 6 years.
   
1-D-3 The Society Fund
The Society has the legally registered Society Fund. The Society Fund should be located in the same country as the Secretariat Office and should be reviewed by the Advisory Board Meeting every 6 years.
   
1-D-4 The Advisory Board Meeting
The Advisory Board Meeting is held at least once every year.
   
1-D-5 The APSIC Regional Meeting
   
1-D-5-1 The APSIC Regional Meeting is a meeting held within member countries under the sponsorship of the Asian Pacific Society of Interventional Cardiology.
   
1-D-5-2 The APSIC Regional Meeting must donate a pre-decided percentage of the profit to the Society Fund. This percentage should be reviewed by the Advisory Board Meeting every 2 years.
   
1-D-6 The APSIC General Meeting
   
1-D-6-1 The APSIC General Meeting is held biennially (once in 2 years) under the name of the Asian Pacific Society of Interventional Cardiology, and covers all nations/regions of the Society.
   
1-D-6-2 The APSIC General Meeting must donate a pre-decided percentage of the profit to the Society Fund. This percentage should be reviewed by the Advisory Board Meeting every 2 years.
   
   
Article 2 MEMBERSHIP
All of the physicians, who are actively practicing in the field of cardiac catheterization and angiography, are performing coronary intervention, and have interest in devoting themselves to the development and promotion of interventional cardiology in the Asian Pacific area, are eligible for the membership of the Society.
   
2-A NATION/REGION REPRESENTATIVES AND MEMBER NATIONS/REGIONS
   
2-A-1 Members of each Nation/Region shall be nominated by the official Cardiac Interventional Society of the Nation/Region, or in its absence the Cardiac Society of the Nation/Region, with a maximum of 4 representatives per Nation/Region. The nominations or elections from each nation/region should be received by the President and the Secretary General of the Society. In the event of a failure of the nomination or election by a nation/region, the President and the Secretary General of the Society shall nominate Nation/Region Representative(s).
   
2-A-2 Any nation/region in the Asian Pacific area can be confirmed as a member nation/region of the Society by the President of the Society with the approval by the Advisory Board Meeting.
   
2-A-3 The President of the Cardiac Interventional Society or the Cardiac Society in the absence of an interventional society, of each Nation/Region shall be a member of the Nation/Region Representative of the respective Nation/Region.
   
2-A-4 A maximum of two members of each Nation/Region representatives shall be replaced at any one time to ensure continuity.
   
2-B THE ADVISORY BOARD MEMBERSHIP
The Advisory Board Membership of the Society shall consist of all of Nation/Region Representatives.
   
2-C THE TREASURER
The Secretary General shall be the Treasurer of the Society.
   
2-D THE PRESIDENT OF THE SOCIETY
The President of the Society will be elected from the Nation/Region Representatives in the Advisory Board Meeting.
   
2-E THE SECRETARY GENERAL OF THE SOCIETY
The President of the Society shall nominate the Secretary General of the Society from the Nation/Region Representatives. The nominee must be approved by the Advisory Board Meeting.
   
2-F THE PERMANENT SECRETARY OF THE SOCIETY
To be advised.
   
   
Article 3 ROLE AND AUTHORITY
   
3-A MEMBER
   
3-A-1 Members are encouraged to promote interventional cardiology in the Asian Pacific area.
   
3-A-2 Members may participate in all activities run by APSIC.
   
3-A-3 Individual members may qualify to become a Nation/Region Representative, if elected or nominated.
   
3-B NATION/REGION REPRESENTATIVES
   
3-B-1 Nation/Region Representatives must promote interventional cardiology in each country.
   
3-B-2 Nation/Region Representatives must represent their own country.
   
3-B-3 Nation/Region Representatives will reflect views and opinions representative of members in each country.
   
3-C ADVISORY BOARD MEETING AND ADVISORY BOARD MEMBER
   
3-C-1 The Advisory Board Meeting of the Society will consist of Advisory Board Members, Secretary General, and the President.
   
3-C-2 The President may convene the Advisory Board Meeting at least once every year during the sessions of the APSIC Regional Meeting or the APSIC General Meeting.
   
3-C-3 Any Advisory Board Member may request for the President at anytime to convene an Advisory Board Meeting.
   
3-C-4 The President must convene an Advisory Board Meeting, if and when one or more of the Board Member request for the Meeting.
   
3-C-5 The Notification of the Advisory Board Meeting should be provided to all of the Advisory Board Member at least one month prior to the meeting.
   
3-C-6 The quorum of each Advisory Board Meeting will be one or more Nation/Region Representatives from at least one third of all countries of the Society.
   
3-C-7 The President or Secretary General of the Society will chair the Advisory Board Meeting.
   
3-C-8 Advisory Board Meeting must make recommendations through the President
   
3-C-9 Advisory Board Meeting will discuss and decide on disqualification of membership if and when necessary.
   
3-C-10 Advisory Board Meeting may discuss the revision of the Constitution if necessary.
   
3-C-11 The voting in the Advisory Board Meeting shall be on the basis of “One Nation/Region One Vote” and not “One Advisory Board Member One Vote”.
   
3-D THE TREASURER
The Treasurer must audit the annual financial reports of the Society Fund, the APSIC Regional Meetings, and the APSIC General Meetings.
   
3-E SECRETARY GENERAL OF THE SOCIETY
   
3-E-1 Secretary General will govern the Secretariat Office.
   
3-E-2 Secretary General will perform practical work according to instructions of the President of the Society.
   
3-E-3 Secretary General shall organize committees. The recommendations from a committee shall be proposed to the Advisory Board Meeting.
   
3-E-4 Secretary General must submit an annual financial report of the Society Funds to the Advisory Board Meeting.
   
3-E-5 In case of the disqualification of the President of the Society, the Secretary General shall convene the Advisory Board Meeting to elect the new President of the Society.
   
3-F THE PRESIDENT OF THE SOCIETY
   
3-F-1 The President will govern the Society.
   
3-F-2 The President shall chair the APSIC General Meeting. In case of a failure to chair the meeting, the President shall nominate the chairperson from the Advisory Board Member.
   
3-F-3 The President can nominate Nation/Region Representatives, when a Nation/Region is unable to nominate them.
   
3-F-4 The President may convene an Advisory Board Meeting.
   
3-F-5 The President may determine the activities of the Society according to reports received from Advisory Board Meetings.
   
3-F-6 The President may disqualify any member for the Society according to a report by the Advisory Board Meeting.
   
3-G THE PERMANENT SECRETARY OF THE SOCIETY

Article 4 TERM AND DISQUALIFICATION
   
4-A THE TERM OF NATION/REGION REPRESENTATIVES
The term of Nation/Region Representatives will be 2 years. Any Nation/Region Representative can be re-nominated or re-elected for a maximum of 3 consecutive terms.
   
4-B THE TERMS OF THE TREASURER AND THE SECRETARY GENERAL
The terms of the Treasurer and the Secretary General will be 2 years, and can be re-nominated for a maximum of 3 consecutive terms.
   
4-C THE TERM OF THE PRESIDENT OF THE SOCIETY
The term of the President of the Society will be 2 years and can be re-elected for a maximum of 3 consecutive terms. The immediate Past-President will remain a member of the Advisory Board for one term of 2 years.
   
4-D THE PERMANENT SECRETARY OF THE SOCIETY
The Permanent Secretary of APSIC will be appointed by the Advisory Board of APSIC for renewable terms of 3 years and shall become a member of the Nation/Region representative of the Advisory Board.
   
4-E DISQUALIFICATION
   
4-E-1 In the event of a member of the Society violating the Constitution of the Society or participating in activities considered inappropriate or harmful to the Society, the member can be disqualified from the membership of the Society.
   
4-E-2 In the event of incapacitation of any office bearer, the Advisory Board Meeting should be convened to elect a new office bearer.
   
   
Article 5 REVISION OF THE CONSTITUTION
Any part of the Constitution can be revised in accordance with the decision of the Advisory Board Meeting.
 
 
SUPPLEMENTARY ARTICLE
   
S-1 THE EFFECT OF THIS CONSTITUTION
This Constitution adopted at the Advisory Board Meeting of APSIC held in Perth, Australia on July 31, 1998 will become effective 30 days after the circulation of the final Constitution to all Advisory Board Members.
   
S-2 THE LOCATION OF THE SECRETARIAT OFFICE
At the time of the effectuation of the Constitution, the Secretariat Office of the Society is located at the National Heart Center, Singapore
   
S-3 THE LOCATION OF THE SOCIETY FUND
At the time of the effectuation of the Constitution, the Society Fund is established in Singapore.
   
S-4 MEMBER NATIONS/REGIONS OF THE SOCIETY
At the time of the effectuation of the Constitution, member nations/regions of the Society are composed of the nations/regions listed in Table 1.
   
S-5 ADVISORY BOARD MEMBERS AND NATION/REGION REPRESENTATIVES
At the time of the effectuation of the Constitution, Advisory Board Members are composed of the Nation/Region Representatives listed in Table 2.
 
S-6 THE PERCENTAGE OF THE PROFIT TO BE DONATED TO THE SOCIETY FUND BY THE APSIC REGIONAL MEETING OR THE APSIC GENERAL MEETING
The APSIC Regional meeting or the APSIC General Meeting will donate 10% of profits to the Society Fund.

APPENDIX
Any part of the Appendix will effect only after the Advisory Board Meeting will revise the main part of the Constitution according to this Appendix in future.
   
A-1 FOUR ZONES OF THE SOCIETY
The Society is geographically and administratively divided into four zones from Zone A to Zone D (Table A).
   
A-2 ZONE REPRESENTATIVES OF THE SOCIETY
   
A-2-1 Nation/Region Representatives are qualified to be Zone Representatives
   
A-2-2 Nation/Region Representatives shall nominate or elect one representative as a Zone Representative in each zone. In the event of a failure in the nomination or election, the President and the Secretary General of the Society shall nominate the Zone Representative.
   
A-2-3 Zone Representatives will reflect views and opinions from each country in the Zone.
   
A-3 THE VICE-PRESIDENT OF THE SOCIETY
The Zone Representatives are regarded as the Vice-Presidents of the Society.
   
A-4 THE TERMS OF ZONE REPRESENTATIVES AND THE VICE-PRESIDENT
The terms of Zone Representatives and the Vice-President of the Society will be 2 years, and can be re-nominated or re-elected for 3 consecutive terms only.
